ดยการกดยอมรับตามสัญญาเข้าร่วมโครงการฉบับนี้ (“สัญญา”) ผู้สมัครเข้าร่วมโครงการ GMMTV POCKY IDOL (ต่อไปในสัญญานี้อาจจะเรียกว่า “ผู้สมัคร” หรืออาจจะเรียกว่า “ผู้เข้าร่วมโครงการ” หากผู้สมัครได้รับการคัดเลือกให้เข้าร่วมโครงการ) ตกลงและยอมรับเงื่อนไขและข้อกำหนดดังต่อไปนี้ รวมทั้งตกลงและยอมรับที่จะผูกพันตนตามที่ระบุไว้ในสัญญาโดยมีรายละเอียดดังต่อไปนี้

• คุณสมบัติผู้สมัคร
  1.1. ผู้สมัครรับรองว่าตนมีสิทธิ์ในการเข้าร่วมโครงการอย่างสมบูรณ์ถูกต้องตามกฎหมาย และไม่ได้มีสถานะเป็นศิลปินในสังกัดของบุคคลอื่น ไม่มีหน้าที่หรือภาระผูกพันตามสัญญาในลักษณะของการแสดง, การร้องเพลง, การประกวด, งานโฆษณา หรืองานบันเทิงในรูปแบบอื่นใด กับบุคคลหรือองค์กรใด ๆ ทั้งสิ้น นับตั้งแต่วันที่ได้รับการคัดเลือกให้เป็นผู้เข้าร่วมโครงการ
  1.2. ผู้สมัครจะต้องมีอายุ 15-24 ปี (หรือผู้ที่เกิดระหว่าง 1 มกราคม พ.ศ. 2544 – 31 ธันวาคม พ.ศ. 2553)
  1.3. ผู้สมัครที่มีอายุต่ำกว่า 20 ปี ต้องได้รับความยินยอมและตกลงให้เข้าร่วมโครงการเป็นลายลักษณ์อักษรจากผู้ปกครองตามกฎหมาย โดยต้องมีการลงนามจริงโดยผู้ปกครองและจัดส่งแบบฟอร์มตามที่ บริษัท จีเอ็มเอ็ม ทีวี จํากัด (“จีเอ็มเอ็มทีวี”) และ บริษัท ไทยกูลิโกะ จำกัด (“ไทยกูลิโกะ”) กำหนด และให้ที่อยู่ผู้ปกครองตามจริง
• การเก็บรวบรวม ใช้ หรือเปิดเผยข้อมูลส่วนบุคคล
    ผู้สมัครตกลงและยินยอมให้ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ เก็บรวบรวม ใช้ หรือเปิดเผย ภาพถ่าย ภาพเคลื่อนไหว และเสียงของผู้สมัคร ทั้งในช่วงเวลารับสมัครโครงการและตลอดระยะเวลาของโครงการ (เช่น คลิปแนะนำตัว คลิปวิดีโอแสดงความสามารถสำหรับใช้ในการสมัคร ภาพถ่ายและคลิปวิดีโอในระหว่างการทำกิจกรรมใด ๆ ของผู้สมัครที่รับคัดเลือกให้เป็นผู้เข้าร่วมโครงการ) รวมถึงชื่อ นามสกุล และข้อมูลอื่น ๆ ไม่ว่าจะสามารถระบุตัวสมัครได้โดยตรงหรือโดยอ้อมก็ตาม ("ข้อมูลส่วนบุคคล") เพื่อใช้สำหรับวัตถุประสงค์ที่เกี่ยวข้องกับการดำเนินโครงการ ซึ่งรวมถึงแต่ไม่จำกัดเพียง:
  - เพื่อให้ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ สามารถติดต่อ ทำการยืนยัน และแจ้งสิทธิ์ต่าง ๆ รวมถึงตอบข้อซักถามและความเห็นของผู้สมัคร และส่งข้อมูลรายละเอียดใด ๆ เกี่ยวกับสถานะการสมัครเข้าร่วมโครงการ
  - เพื่อใช้ประกอบการตัดสินใจคัดเลือกผู้สมัครเพื่อเป็นผู้เข้าร่วมโครงการ
  - เพื่อสื่อสารกับผู้เข้าร่วมโครงการ ซึ่งรวมถึงแต่ไม่จำกัดเพียง การให้ข้อมูลและแจ้งให้ทราบเกี่ยวกับกิจกรรมต่าง ๆ และข้อมูลซึ่งเป็นประโยชน์แก่ผู้เข้าร่วมโครงการ รวมถึงเพื่อการส่งของรางวัลซึ่งเกี่ยวกับกิจกรรมต่าง ๆ ให้แก่ผู้เข้าร่วมโครงการ
  - เพื่อตอบกลับคำขอใด ๆ ของผู้สมัครและผู้เข้าร่วมโครงการ
  - เพื่อนำไปผลิต และ/หรือ จัดทำเนื้อหา (Content) ประกอบรายการประเภทต่าง ๆ ที่เกี่ยวข้องกับโครงการ เช่น วาไรตี้ เกมโชว์ รวมถึงจัดทำบันทึกการแสดง การดำเนินการถ่ายทอดสด และประกอบสื่อโฆษณาและประชาสัมพันธ์ของโครงการ ของจีเอ็มเอ็มทีวี และ/หรือ ของไทยกูลิโกะ ไม่ว่าในรูปแบบใด และในทุกช่องทาง โดยไม่จำกัดระยะเวลาการลงสื่อ
  - เพื่อการปฏิบัติตามกฎหมาย ข้อบังคับ และข้อกำหนดอื่น ๆ ที่ใช้บังคับ (เช่น การให้ความร่วมมือกับหน่วยงานบังคับใช้กฎหมาย หน่วยงานกำกับดูแล และหน่วยงานราชการอื่น ๆ)
  - เพื่อใช้ในวัตถุประสงค์ตามที่ระบุไว้ในความยินยอมใด ๆ ที่ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ อาจได้ขอกับผู้สมัครและ/หรือผู้เข้าร่วมโครงการ ไว้
    ทั้งนี้ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ จะเก็บรวบรวม ใช้ และเปิดเผยข้อมูลส่วนบุคคลของผู้สมัครและผู้เข้าร่วมโครงการไว้จนกว่าการดำเนินการตามวัตถุประสงค์ของโครงการนี้จะสิ้นสุดลง โดยผู้สมัครและผู้เข้าร่วมโครงการสามารถเข้าถึง ขอสำเนา แก้ไข ขอให้ส่งหรือโอนข้อมูลส่วนบุคคล คัดค้าน ลบหรือทำลาย ระงับการใช้ ขอให้ดำเนินการให้ข้อมูลส่วนบุคคลถูกต้อง เป็นปัจจุบัน สมบูรณ์ และไม่ก่อให้เกิดความเข้าใจผิด โดยผู้สมัครสามารถติดต่อ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ ได้ทางอีเมล [email protected] (วัน-เวลาทำการ จันทร์-ศุกร์ 10:00-17:00 น. ยกเว้นวันหยุดของจีเอ็มเอ็มทีวีและไทยกูลิโกะ และวันหยุดนักขัตฤกษ์)
• ข้อตกลงในการเข้าร่วมโครงการ
  3.1. ผู้สมัครตกลงและรับทราบว่า หากผู้สมัครผ่านการคัดเลือกเป็นผู้เข้าร่วมโครงการ จะปฏิบัติตามข้อกำหนดดังต่อไปนี้
   3.1.1. ผู้เข้าร่วมโครงการจะเข้ามาทำกิจกรรม รวมทั้งการดำเนินการคัดเลือก (Audition) เพิ่มเติม ตามที่คณะกรรมการที่ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ กำหนด โดยทีมงานจะแจ้งวัน เวลา สถานที่ และรายละเอียดให้ทราบ หากทีมงานติดต่อผู้เข้าร่วมโครงการไม่ได้ หรือผู้เข้าร่วมโครงการไม่ติดต่อกลับทีมงาน หรือไม่มาปรากฏตัวหรือเข้าร่วมกิจกรรมตามที่ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ กำหนด ไม่ว่าด้วยสาเหตุใด ๆ ให้ถือว่าผู้เข้าร่วมโครงการถูกตัดสิทธิ์จากการเข้าร่วมโครงการนี้ทันที โดย จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ ไม่จำเป็นต้องแจ้งให้ทราบแต่อย่างใดอีก
   3.1.2. ผู้เข้าร่วมโครงการจะไม่ถอนตัวจากโครงการหรือกิจกรรมใด ๆ ที่เกี่ยวข้องกับโครงการ โดยที่ไม่ได้รับความยินยอมล่วงหน้าเป็นลายลักษณ์อักษรจาก จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ ทั้งนี้ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ มีสิทธิ์เรียกร้องค่าเสียหายใด ๆ ที่เกิดขึ้นจากการถอนตัวของผู้เข้าร่วมโครงการที่ไม่ได้รับความยินยอมล่วงหน้าในข้างต้น
   3.1.3. ผู้เข้าร่วมโครงการตกลงและรับทราบว่า ผู้เข้าร่วมโครงการจะเป็นผู้ออกค่าใช้จ่ายทั้งหมดในการเดินทางมาร่วมกิจกรรมต่าง ๆ ตามที่ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ กำหนดด้วยตนเอง
   3.1.4. ผู้เข้าร่วมโครงการตกลง และยินยอมให้ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ จัดเตรียมและกำหนดองค์ประกอบต่าง ๆ ที่เกี่ยวข้องกับการถ่ายทำ การเข้าร่วมกิจกรรม และ/หรือการแข่งขันที่เกี่ยวข้องกับโครงการ ซึ่งอาจรวมถึงแต่ไม่จำกัดเพียง สถานที่ถ่ายทำ สภาพแวดล้อม บรรยากาศของกิจกรรมต่าง ๆ ที่เข้าร่วม อุปกรณ์ประกอบฉาก เวที ระบบแสง สี เสียง เครื่องแต่งกาย การแต่งหน้า การจัดทรงผม รวมถึงวัสดุ สินค้า บริการต่าง ๆ ที่เกี่ยวข้อง และสื่อประชาสัมพันธ์ใด ๆ ซึ่งรวมถึงการแสดงโลโก้ ชื่อทางการค้า เครื่องหมายทางการค้า ตราสัญลักษณ์ ข้อความโฆษณา และ/หรือเนื้อหาใด ๆ ที่เกี่ยวข้องกับผู้สนับสนุนโครงการ และจะปฏิบัติตามคำแนะนำของ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ ในการร่วมโฆษณาประชาสัมพันธ์ รวมทั้งการใช้หรือแสดงสินค้าและ/หรือบริการของผู้สนับสนุนโครงการในระหว่างการถ่ายทำ หรือกิจกรรม
   3.1.5. ตลอดระยะเวลาการเข้าร่วมโครงการ ผู้ร่วมโครงการที่ผ่านเข้ารอบ 30 คน จะไม่กล่าวถึง นำเสนอ โฆษณาประชาสัมพันธ์ และ/หรือใช้สินค้าหรือบริการที่เป็นคู่แข่งกับผู้สนับสนุนโครงการ ไม่ว่าในช่องทางใด ๆ เว้นแต่จะได้รับอนุญาตเป็นลายลักษณ์อักษรจาก จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ ก่อน
   3.1.6. ผู้เข้าร่วมโครงการตกลงและรับทราบว่า ผู้เข้าร่วมโครงการจะไม่ได้รับค่าตอบแทนใด ๆ ตลอดระยะเวลาในการเข้าร่วมโครงการ
   3.1.7. ผู้เข้าร่วมโครงการรับทราบและเข้าใจเป็นอย่างดีว่า ภาพลักษณ์ของผู้เข้าร่วมโครงการ ถือเป็นสาระสำคัญในการเข้าร่วมโครงการ ผู้เข้าร่วมโครงการจะต้องรักษาบุคลิกภาพที่ดี รวมถึงรูปร่างและลักษณะที่มองเห็นได้ภายนอก ประพฤติตนอยู่ในความถูกต้อง เหมาะสมในทางศีลธรรม สอดคล้องกับค่านิยมของสังคม และไม่ละเมิดต่อกฎหมาย ตลอดระยะเวลาที่เข้าร่วมโครงการ
  3.2. ผู้สมัครและผู้เข้าร่วมโครงการตกลงและยอมรับคำตัดสินใด ๆ ทุกประการของ จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ และ/หรือคณะกรรมการที่ จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ กำหนด ในทุกขั้นตอนของโครงการ รวมถึงการตัดสินผู้ชนะและได้รับรางวัล ทั้งนี้ คำตัดสินดังกล่าวให้ถือเป็นที่สิ้นสุด โดยไม่จำเป็นต้องมีคำชี้แจง ผู้สมัครและผู้เข้าร่วมโครงการไม่มีสิทธิ์โต้แย้งใด ๆ ในคำตัดสินดังกล่าว
  3.3. ของรางวัลใด ๆ ซึ่งจะได้มอบให้ผู้เข้าร่วมโครงการ หากได้รับการคัดเลือก/ตัดสิน ให้เป็นผู้ชนะของโครงการ จะไม่สามารถเปลี่ยนเป็นเงินสด หรือของรางวัลชนิดอื่นได้ และไม่สามารถโอนสิทธิในการรับรางวัลดังกล่าวให้ผู้อื่นได้ ทั้งนี้ ผู้รับรางวัลจะต้องถูกหักภาษี ณ ที่จ่ายตามอัตราที่กฎหมายกำหนด
  3.4. ผู้สมัครและผู้เข้าร่วมโครงการตกลงว่า จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ มีสิทธิโดยเด็ดขาดในการแก้ไข เพิ่มเติม และเปลี่ยนแปลงข้อกำหนด, กฎ, ระเบียบ, กติกา และเงื่อนไขใด ๆ เกี่ยวกับโครงการได้โดยไม่ต้องแจ้งให้ทราบล่วงหน้า
  3.5. หาก จีเอ็มเอ็มทีวี ได้ตัดสินใจเลือกผู้เข้าร่วมโครงการให้เป็นผู้ชนะในโครงการนี้ หรือรับเข้าเป็นศิลปินของ จีเอ็มเอ็มทีวี ผู้เข้าร่วมโครงการตกลงและรับทราบว่าผู้เข้าร่วมโครงการจะไม่มีสิทธิโอนสิทธิดังกล่าวให้แก่ผู้อื่น และจะเข้าทำสัญญาศิลปินหรือนักแสดงของ จีเอ็มเอ็มทีวี ภายในกรอบระยะเวลาที่ จีเอ็มเอ็มทีวี กำหนด และตามเงื่อนไขและข้อความที่จะตกลงกันเป็นลายลักษณ์อักษรต่อไป
• ข้อมูลอันเป็นความลับ
    ตลอดระยะเวลาที่เข้าร่วมโครงการนี้ รวมถึงกิจกรรมใด ๆ ที่เกี่ยวข้อง และภายหลังจากสิ้นสุดการเข้าร่วมโครงการ ผู้สมัครจะต้องเก็บรักษาข้อมูลทุกประเภทที่เกี่ยวข้องกับโครงการ รวมถึงแต่ไม่จำกัดเพียง ข้อมูลภายในของโครงการ รูปแบบการแข่งขัน แนวคิด เนื้อหา ขั้นตอน วิธีการ กระบวนการ รูปแบบรายการ บทสนทนา หรือรายละเอียดอื่นใดที่ไม่เปิดเผยต่อสาธารณะ ข้อมูลเชิงพาณิชย์หรือความลับทางการค้าหรือข้อมูลเกี่ยวกับการดำเนินงานของ จีเอ็มเอ็มทีวี ไทยกูลิโกะ และ/หรือผู้สนับสนุนโครงการ รายชื่อผู้เข้าร่วมโครงการ หรือเนื้อหาใด ๆ ที่เกี่ยวกับผู้สมัครรายอื่น สถานะของตนเองในฐานะผู้เข้าร่วมโครงการ รวมถึงผลการคัดเลือกหรือรายละเอียดใด ๆ ที่เกี่ยวข้องกับการคัดเลือก การถ่ายทำ หรือผลการแข่งขัน (“ข้อมูลอันเป็นความลับ”)
    ผู้สมัครตกลงว่าจะไม่คัดลอก ทำซ้ำ ดัดแปลง เผยแพร่ ส่งต่อ หรือกระทำการใด ๆ อันเป็นการเปิดเผยข้อมูลอันเป็นความลับตามวรรคแรก ไม่ว่าจะด้วยวิธีใดหรือผ่านช่องทางใด ๆ รวมถึงแต่ไม่จำกัดเพียง การพูดคุยกับบุคคลภายนอก การโพสต์ข้อความ รูปภาพ หรือวิดีโอลงบนโซเชียลมีเดีย หรือการให้สัมภาษณ์ในลักษณะใด ๆ โดยไม่ได้รับอนุญาตเป็นลายลักษณ์อักษรจาก จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ ก่อน
• ทรัพย์สินทางปัญญา
   5.1. ในระหว่างกระบวนการสมัครและการคัดเลือกเข้าร่วมโครงการ ผู้สมัครตกลงยอมรับข้อกำหนดเกี่ยวกับทรัพย์สินทางปัญญาตามที่ระบุไว้ดังนี้
    5.1.1. ผู้สมัครตกลงว่า ลิขสิทธิ์ในภาพ เสียง ภาพเคลื่อนไหว รวมถึงเนื้อร้อง ทำนอง เนื้อเพลง หรือบทเพลงใด ๆ ตลอดจนผลงานสร้างสรรค์อื่นใด ซึ่งผู้สมัครได้สร้างสรรค์ขึ้นเองหรือมีส่วนร่วมในการสร้างสรรค์ในส่วนที่ผู้สมัครได้สร้างสรรค์โดยตรง เพื่อประกอบการส่งผลงานเพื่อการคัดเลือกเข้าร่วมโครงการ ให้ถือเป็นกรรมสิทธิ์ ลิขสิทธิ์ และทรัพย์สินทางปัญญาของผู้สมัคร (“ทรัพย์สินทางปัญญาของผู้สมัคร”) ทั้งนี้ ผู้สมัครรับรองว่าผลงานดังกล่าวมิได้ละเมิดลิขสิทธิ์ สิทธิในทรัพย์สินทางปัญญาและ/หรือสิทธิอื่นใดของบุคคลใด รวมทั้งมิได้เป็นการหมิ่นประมาทบุคคลใด
    5.1.2. ผู้สมัครตกลงให้ความยินยอมแก่ จีเอ็มเอ็มทีวี และ/หรือ ไทยกูลิโกะ ในการใช้งานอันมีลิขสิทธิ์ และ/หรือ ทรัพย์สินทางปัญญาของผู้สมัครที่ระบุในข้อ 5.1.1 ในการทำซ้ำ ดัดแปลง แก้ไข เผยแพร่ แจกจ่าย แสดงหรือเผยแพร่ต่อสาธารณชน หรือแสวงหาประโยชน์ในทางใด ๆ เพื่อประโยชน์ในการดำเนินการภายใต้โครงการ และ/หรือการประชาสัมพันธ์โครงการ ทั้งในรูปแบบที่มีอยู่แล้วหรือจะมีขึ้นในอนาคต โดยไม่จำกัดจำนวนครั้งและไม่คิดค่าตอบแทน ตลอดระยะเวลาของโครงการ และระยะเวลาอันสมควรหลังสิ้นสุดโครงการ ทั้งนี้ โดยไม่ถือเป็นการโอนกรรมสิทธิ์ในลิขสิทธิ์ และ/หรือ ทรัพย์สินทางปัญญาดังกล่าวให้แก่ จีเอ็มเอ็มทีวี หรือ ไทยกูลิโกะ แต่อย่างใด
   5.2. เมื่อผู้สมัครได้รับการคัดเลือกให้เป็นผู้เข้าร่วมโครงการ ผู้เข้าร่วมโครงการตกลงยอมรับข้อกำหนดเกี่ยวกับลิขสิทธิ์และทรัพย์สินทางปัญญาตามที่ระบุไว้ดังนี้
    5.2.1. ผู้เข้าร่วมโครงการตกลงว่าลิขสิทธิ์ใน ภาพ เสียง ภาพเคลื่อนไหว ของผู้เข้าร่วมโครงการ รวมถึง เนื้อร้อง ทำนอง เนื้อเพลง บทเพลง ตลอดจนผลงานสร้างสรรค์ใด ๆ ซึ่งผู้เข้าร่วมโครงการสร้างสรรค์ขึ้นใหม่ หรือมีส่วนร่วมในการสร้างสรรค์ในระหว่างการเข้าร่วมโครงการ เพื่อใช้ขับร้อง จัดการแสดง หรือนำเสนอไม่ว่าในรูปแบบใด ในระหว่างการเข้าร่วมโครงการทั้งหมด ให้ถือเป็นกรรมสิทธิ์ ลิขสิทธิ์ และทรัพย์สินทางปัญญาของ จีเอ็มเอ็มทีวี (“ทรัพย์สินทางปัญญาของโครงการ”)
    5.2.2. ผู้เข้าร่วมโครงการตกลงว่าจะไม่กระทำการใด ๆ อันเป็นการใช้ ทำซ้ำ ดัดแปลง แก้ไข เผยแพร่ แจกจ่าย แสดงต่อสาธารณชน หรือแสวงหาประโยชน์ในทางใด ๆ จากลิขสิทธิ์ และ/หรือ ทรัพย์สินทางปัญญาของโครงการตามข้อ 5.2.1 ไม่ว่าทั้งหมดหรือบางส่วน โดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรล่วงหน้าจาก จีเอ็มเอ็มทีวี ก่อน
    5.2.3. ผู้เข้าร่วมโครงการตกลงยินยอมโอนกรรมสิทธิ์และสิทธิทั้งปวงในลิขสิทธิ์และทรัพย์สินทางปัญญาในผลงานสร้างสรรค์ทั้งหมดที่ผู้เข้าร่วมโครงการสร้างสรรค์ขึ้นระหว่างการเข้าร่วมโครงการตามข้อ 5.2.1 ให้แก่ จีเอ็มเอ็มทีวี อย่างไม่มีเงื่อนไข โดยสมบูรณ์ และตลอดอายุการคุ้มครองลิขสิทธิ์และทรัพย์สินทางปัญญาตามประเภทงานนั้นๆ โดยไม่มีค่าตอบแทน และจะดำเนินการลงนามในเอกสารใด ๆ ที่จำเป็น เพื่อให้การโอนสิทธิ์นั้นสมบูรณ์ตามกฎหมาย หาก จีเอ็มเอ็มทีวี ร้องขอ
• การตัดสิทธิ์เข้าร่วมโครงการ / ยกเลิกสัญญา
    จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ สงวนสิทธิ์ในการตัดสิทธิ์เข้าร่วมโครงการ และ/หรือ ยกเลิกสัญญาทั้งหมดกับผู้สมัครในทันที รวมถึงสิทธิ์ในการเพิกถอนรางวัลใด ๆ ที่ได้มอบให้แก่ผู้สมัครที่ได้รับการคัดเลือก/ตัดสินให้เป็นผู้ชนะของโครงการเป็นการย้อนหลัง ในกรณีที่พบว่าผู้สมัคร ไม่มีคุณสมบัติครบถ้วนตามที่ได้รับรองตนไว้ และ/หรือไม่ได้ปฏิบัติครบถ้วนตามกติกาและข้อกำหนดในการรับสมัคร หรือฝ่าฝืนข้อตกลง ไม่ว่าข้อใดข้อหนึ่งตามสัญญาฉบับนี้
    ทั้งนี้ ในกรณีที่พบว่าผู้สมัครกระทำการทุจริตเพื่อให้ได้เป็นผู้เข้าร่วมโครงการ หรือพบว่าผู้เข้าร่วมโครงการกระทำการทุจริต ไม่ว่าในขั้นตอนใด ในระหว่างการเข้าร่วมโครงการ หรือเพื่อให้ได้มาซึ่งรางวัลใด ๆ นอกจาก จีเอ็มเอ็มทีวี และ ไทยกูลิโกะจะมีสิทธิ์ดำเนินการตามวรรคแรกแล้ว จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ สงวนสิทธิ์ในการดำเนินการใด ๆ ในทางกฎหมาย หากพิสูจน์ได้ว่าผู้สมัครได้กระทำการทุจริตไม่ว่าจะเป็นรูปแบบใด จนเกิดความเสียหายแก่ชื่อเสียงของ จีเอ็มเอ็มทีวี ไทยกูลิโกะ และ/หรือบุคคลใด ๆ
• ข้อจำกัดความรับผิด
   7.1. จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ ไม่รับผิดชอบใด ๆ ต่อการสูญเสีย บาดเจ็บ หรือความรับผิดใด ๆ ที่เกิดขึ้นจากการร่วมโครงการ หรือเกิดขึ้นจากบุคคลใด ๆ ที่เกี่ยวข้องกับโครงการ รวมถึงไม่รับผิดชอบในความ ขัดข้อง หรือ การหยุดชะงักของระบบคอมพิวเตอร์ ระบบโทรศัพท์มือถือ ระบบอินเทอร์เน็ต หรือระบบของเว็บไซต์แต่อย่างใด
   7.2. จีเอ็มเอ็มทีวี และ ไทยกูลิโกะ ไม่ต้องรับผิดชอบใด ๆ ในกรณีที่ไม่สามารถดำเนินโครงการต่อไปได้จนสิ้นสุดโครงการ อันเนื่องมาจากสาเหตุใด ๆ ก็ตาม รวมถึงแต่ไม่จำกัดเพียง เหตุสุดวิสัย

  By clicking to accept this Participation Agreement (“Agreement”), the applicant for the GMMTV POCKY IDOL project (hereinafter referred to in this Agreement as the “Applicant”, and as the “Participant” if selected to join the project) agrees to be bound by the terms and conditions set forth below.

• Applicant Qualifications
  1.1. The Applicant certifies that they are fully and lawfully eligible to participate in the project and are not currently under committed contract as an artist with any other person or entity. The Applicant further confirms that they are not bound by any contractual obligations related to acting, singing, competitions, advertising, or any other form of entertainment with any person or organization, effective from the date they are selected to participate in this project.
  1.2. The Applicant must be between 15 and 24 years of age (i.e., born between January 1, 2001 and December 31, 2010).
  1.3. Applicants under the age of 20 must obtain written consent and agreement from their legal guardian to participate in the project, which must be duly signed by the guardian, and submitted, in the form designated by GMM TV Co., Ltd. (“GMMTV”) and Thai Glico Co., Ltd. (“ThaiGlico”), along with the accurate address of the guardian.
• Collection, Use, and Disclosure of Personal Data
    The Applicant agrees and consents to GMMTV and/or ThaiGlico collecting, using, or disclosing the Applicant’s photographs, video footage, and audio recordings taken during the application period and throughout the duration of the project (e.g., introduction clips and talent showcase videos submitted for application, photographs and video clips taken during any activities involving selected Participants), including the Applicant’s name, surname, and other information that may directly or indirectly identify the Applicant (“Personal Data”), for purposes related to the execution of the project, including but not limited to:
  - Enabling GMMTV and/or ThaiGlico to contact, verify, and notify the Applicant of various rights, respond to inquiries and feedback, and provide information regarding the status of the application;
  - Supporting the selection process of Applicants to become Participants in the project;
  - Communicating with Participants, including but not limited to providing information and updates about activities and other beneficial content, as well as delivering prizes related to project activities;
  - Responding to any requests made by the Applicant or Participant;
  - Producing and/or creating content for various types of programs related to the project, such as variety shows, game shows, recordings of performances, live broadcasts, and promotional or advertising materials for the project, GMMTV and/or ThaiGlico, in any format and through all channels, without limitation on the duration of media usage;
  - Complying with applicable laws, regulations, and other legal requirements (e.g., cooperating with law enforcement agencies, regulatory bodies, and other government authorities);
  - Using the data for any purposes specified in any consent forms that GMMTV and/or ThaiGlico may request from the Applicant and/or Participant.
    GMMTV and/or ThaiGlico will collect, use, and disclose the Personal Data of the Applicant and Participant until the completion of the project’s objectives. The Applicant and Participant have the right to access, request copies, correct, transfer, object to, delete or destroy, suspend use of, and request that their Personal Data be accurate, up-to-date, complete, and not misleading. The Applicant may contact GMMTV and/or ThaiGlico at the email address: [email protected] (Business hours: Monday–Friday, 10:00–17:00, excluding holidays of GMMTV and ThaiGlico and public holidays).
• Terms and Conditions of Participation
  3.1. The Applicant agrees and acknowledges that, if selected as a Participant in the project, they shall comply with the following terms:
   3.1.1. The Participant shall attend all activities, including any additional auditions, as determined by the committee appointed by GMMTV and/or ThaiGlico. The date, time, location, and relevant details will be later notified. If it is unable to contact the Participant, or if the Participant fails to respond, appear, or participate in the activities as scheduled—regardless of the reason—the Participant shall be immediately disqualified from the project without further notice from GMMTV and/or ThaiGlico.
   3.1.2. The Participant shall not withdraw from the project or any related activities without prior written consent from GMMTV and ThaiGlico. GMMTV and/or ThaiGlico reserves the right to claim any damages arising from such unauthorized withdrawal.
   3.1.3. The Participant agrees and acknowledges that they shall be responsible for all travel and related expenses incurred in attending the activities as scheduled by GMMTV and/or ThaiGlico.
   3.1.4. The Participant agrees and consents to GMMTV and/or ThaiGlico arranging and determining all elements related to filming, participation in activities, and/or competitions associated with the project. This may include, but is not limited to, filming locations, activity environments, props, stages, lighting, sound systems, costumes, makeup, hairstyling, materials, products, services, and promotional media. This also includes the display of logos, trade names, trademarks, symbols, advertising messages, and/or any content related to the project’s sponsors. The Participant shall comply with GMMTV and/or ThaiGlico’s instructions regarding promotional activities, including the use or display of sponsored products and/or services during filming or activities.
   3.1.5. Throughout the duration of the project and all related activities, the Participant shall not mention, promote, advertise, or use any products or services that compete with those of the project’s sponsors through any channel, unless prior written permission is obtained from GMMTV and/or ThaiGlico.
   3.1.6. The Participant agrees and acknowledges that they shall not receive any compensation for participating in the project.
   3.1.7. The Participant fully understands and acknowledges that their public image is a key component of the project. The Participant shall maintain a good personal appearance, including physical presentation, and conduct themselves in a morally appropriate manner consistent with societal values and in compliance with the law throughout the duration of the project.
  3.2. The Applicant and Participant agree to accept all decisions made by GMMTV and ThaiGlico, and/or their appointed committee at every stage of the project, including the selection of winners and prize recipients. All such decisions shall be deemed final and binding, and the Applicant and Participant shall have no right to dispute them.
  3.3. Any prizes awarded to the Participant upon being selected or declared the winner of the project are non-transferable, non-exchangeable for cash or other items, and subject to applicable withholding tax as required by law.
  3.4. The Applicant and Participant agree that GMMTV and ThaiGlico reserves the absolute right to amend, supplement, or modify any terms, rules, regulations, or conditions related to the project without prior notice.
  3.5. If GMMTV decides to select the Participant as the winner of the project or to sign the Participant as an artist of GMMTV, the Participant hereby agrees and acknowledges that the Participant will have no right to transfer this entitlement to others and will enter into a contract with GMMTV as an artist or performer within the timeframe specified by GMMTV and under the terms and conditions to be agreed upon in writing.
• Confidential Information
    Throughout the duration of participation in this project, the Applicant shall maintain the confidentiality of all types of information related to the project. This includes, but is not limited to, internal project information, competition models, concepts, content, procedures, methods, processes, program models, scripts, or any other non-public details; commercial or trade secrets; operational information of GMMTV, ThaiGlico and/or the project sponsors, names of other participants, or any content related to other Applicants, their own status as a Participant, selection results, or any details related to the selection process, filming, or competition outcomes (“Confidential Information”).
    The Applicant agrees not to copy, reproduce, modify, disclose, transmit, or take any action that would result in the disclosure of such Confidential Information in any manner or through any channel. This includes, but is not limited to, discussions with third parties, posting messages, images, or videos on social media, or giving interviews in any form, without prior written consent from GMMTV and ThaiGlico.
• Intellectual Property
   5.1. During the application and selection process for participation in the project, the Applicant agrees to the following terms regarding intellectual property:
    5.1.1. The Applicant agrees that the copyright in any images, audio, video, lyrics, melodies, songs, or any other creative works that the Applicant has created or contributed to—specifically the parts directly created by the Applicant—for the purpose of submitting materials for project selection, shall remain the property, copyright, and intellectual property of the Applicant (“Applicant’s Intellectual Property”). The Applicant represents and warrants that such works do not infringe upon any copyright, intellectual property rights and/or other rights of any third party and do not defame any person.
    5.1.2. The Applicant grants consent to GMMTV and/or ThaiGlico to use such copyrighted works and/or the Applicant’s Intellectual Property as defined in Clause 5.1.1 for reproduction, adaptation, modification, publication, distribution, public display, or any other form of exploitation for the purposes of project execution and/or project promotion, in any existing or future formats, without limitation on the number of uses and without compensation, throughout the duration of the project and for a reasonable period thereafter. This shall not constitute a transfer of ownership of such copyright and/or intellectual property to GMMTV or ThaiGlico.
   5.2. Upon being selected as a Participant in the project, the Participant agrees to the following terms regarding copyright and intellectual property:
    5.2.1. The Participant agrees that the copyright in any images, audio, video, lyrics, melodies, songs, or any other creative works created or co-created during participation in the project—whether for singing, performing, or presenting in any form—shall be the sole property, copyright and intellectual property of GMMTV (“Project Intellectual Property”).
    5.2.2. The Participant agrees not to use, reproduce, adapt, modify, publish, distribute, publicly display, or otherwise exploit such copyright and/or the Project Intellectual Property as defined in Clause 5.2.1, in whole or in part, without prior written consent from GMMTV.
    5.2.3. The Participant unconditionally agrees to assign all ownership and rights in the copyright and the Project Intellectual Property created during participation in the project, as defined in Clause 5.2.1, to GMMTV, fully and for the entire duration of the copyright and intellectual property right for such kind of work, without compensation. The Participant also agrees to sign any necessary documents to legally effect such an assignment upon request of GMMTV.
• Disqualification from the Project / Termination of Agreement
    GMMTV and ThaiGlico reserve the right to immediately disqualify any Applicant from participating in the project and/or to terminate this Agreement in its entirety, including the right to retroactively revoke any prizes awarded to an Applicant who has been selected or declared a winner of the project, in the event that it is found that the Applicant does not meet the qualifications as previously certified and/or has failed to comply with the rules and requirements of the application process or has breached any provision of this Agreement.
    Furthermore, if it is discovered that the Applicant has engaged in fraudulent conduct to gain entry into the project, or if the Participant is found to have committed fraud at any stage during participation in the project or in connection with the receipt of any prize, GMMTV and ThaiGlico, in addition to exercising the rights stated above, reserve the right to take legal action if it can be proven that such fraudulent conduct has caused damage to the reputation of GMMTV, ThaiGlico, and/or any other person.
• Limitation of Liability
   7.1 GMMTV and ThaiGlico shall not be held liable for any loss, injury, or liability arising from participation in the project or caused by any person involved in the project. This includes, but is not limited to, any malfunction or disruption of computer systems, mobile phone systems, internet systems, or website systems.
   7.2 GMMTV and ThaiGlico shall not be responsible in any way if the project cannot be continued through to completion due to any cause whatsoever, including but not limited to force majeure events.
